1. Acceptance of Terms

By accessing or using the services provided by Operations Optimization Corp ("Company," "we," "our," or "us"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Agreement"). If you do not agree, you may not use the Services.

2. Services

The Company provides access to software that enables labor provision, task automation, and workforce management ("Services"). The scope, features, and functionality of the Services are described on our website or agreed in writing.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into this Agreement.

4. Account Registration

  • Providing accurate and complete information.
  • Maintaining confidentiality of login credentials.
  • All activities occurring under your account.

5. Customer Responsibilities

  • Use the Services in compliance with applicable laws.
  • Not misuse, reverse engineer, or disrupt the Services.
  • Provide necessary cooperation and data to enable delivery of the Services.

6. Fees and Payment

  • Fees are set forth in the applicable order form or pricing schedule.
  • Payments are due as stated in the invoice terms.
  • Late payments may accrue interest and may result in suspension of Services.

7. Intellectual Property

  • The Company retains all rights, title, and interest in the Services, software, and related materials.
  • Customer retains ownership of data provided to the Services.
  • Company is granted a limited license to use Customer Data solely to provide the Services.

8. Data Protection

  • Company will implement reasonable technical and organizational measures to protect Customer Data.
  • Customer is responsible for obtaining all necessary rights and consents for using Customer Data in the Services.

9. Confidentiality

Each party agrees to protect the other's confidential information and use it only for purposes of performing this Agreement.

10. Service Availability and Support

  • Company will use commercially reasonable efforts to ensure uptime and availability of the Services.
  • Support will be provided as described in the applicable plan.

11. Term and Termination

  • This Agreement begins on the Effective Date and continues until terminated.
  • Either party may terminate for material breach if not cured within 30 days after notice.
  • Upon termination, Customer must cease using the Services, and unpaid fees will become immediately due.

12. Disclaimers

The Services are provided "AS IS." The Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

  • Company's liability is limited to the fees paid by Customer in the 12 months preceding the claim.
  • Company is not liable for indirect, incidental, or consequential damages.

14. Indemnification

  • Customer agrees to indemnify and hold harmless the Company from claims, damages, or expenses arising from Customer's misuse of the Services.
  • Violation of this Agreement or applicable law.

15. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict of laws principles.

16. Dispute Resolution

Disputes will be resolved by binding arbitration in Orange County, Florida, unless otherwise required by law.

17. Changes to Terms

Company may update these Terms with notice. Continued use of the Services constitutes acceptance of updated terms.

18. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes prior agreements.
